SALES CONDITIONS

1. EXTENSION

These conditions are exclusively extended to products offi-

cially supplied by ENOLGAS BONOMI S.p.A.

2. GUARANTEE CONDITIONS

All ENOLGAS BONOMI S.p.A. products are guaranteed as per use

indications outlined in the official ENOLGAS BONOMI S.p.A. catalo-

gues. Any use different from those indicated release ENOLGAS BO-

NOMI S.p.A. from any responsibilities.

3. GUARANTEE COVERAGE

I- for automated brass ball valves

The ENOLGAS automated brass ball valves are

covered by a 12 month guarantee as of date of

delivery

II- for all other valves

All other ENOLGAS BONOMI S.p.A. valves are

covered by a 24 month guarantee as of date of delivery

The guarantee does not cover defects caused by accidents, client ne-

gligence, improper use or maintenance or for any other reason out of

ENOLGAS BONOMI’s control.

4. PAYMENTS

Only the latest payment conditions o

fficially communicated by

ENOLGAS BONOMI S.p.A. will be considered valid. Any non re-

spect of these will be considered as an overdue payment. Any

disputes whatsoever shall not be a valid reason to suspend pay-

ments due.

5. OPERATING TORQUE FOR AUTOMATIC BRASS BALL VAL-

VES

The operating torque for automatic brass ball valves declared

on the ENOLGAS BONOMI S.p.A. technical documents is relati-

ve to tests undertaken on new valves at room temperature.

6. CLAIMS

All and any claims must be communicated officially to ENOLGAS

BONOMI S.p.A. which will react to the claim as per ISO 9001 nor-

ms. Any and all undertakings by the client and/or representative

without the prior official written consent of ENOLGAS BONOMI

S.p.A. is to be considered strictly at his/its own risk and ENOL-

GAS BONOMI S.p.A. is not be held responsible for such unilateral

actions under any circumstances. Furthermore, ENOLGAS BO-

NOMI S.p.A. reserves the right to:

I- Request a sample part of the non-conform material

be sent to ENOLGAS BONOMI S.p.A.;

II- Replace the non-conform material with the same

quality, type and quantity, ex works;

III- Credit the client an amount equal to the value of the

non conform products;

All material substituted will then automatically become pro-

perty of ENOLGAS BONOMI S.p.A.

7. CLAIM LEAD TIMES

The client is to verify the conformity and absence of any faults

and inform ENOLGAS BONOMI S.p.A.:

I- within 10 working days of the reception of the

material for visual defects and;

II- within 10 working days of the acknowledgement of

the hidden defect.

8. RESPONSIBILITIES

If it were to result that the defect claimed was not to be attri-

buted to ENOLGAS BONOMI S.p.A., all related costs for the

substitution, transportation and dealings will be debited to the

claimant.

This procedure waivers ENOLGAS BONOMI S.p.A. from any

further liabilities and in no circumstances will ENOLGAS BO-

NOMI S.p.A. be responsible for any indirect damage or claims

for related consequences, production shut down etc.. Further-

more, this does not entitle the client to any reductions or com-

pensation.

9. OBLIGATIONS

All parties must completely fulfil their obligations relative to

the entire supply agreement including the obligation of the

client to withdraw material purchased through a purchasing

order and respect all documentation, payment and all other

and eventual requirements related thereto. The purchaser is

obliged to collect the goods, even in case of partial or anticipa-

ted consignments.

10. SUPPLY QUANTITIES

ENOLGAS BONOMI S.p.A. reserves the right to modify the

quantity of shipments in order to suit standard packaging lots.

The minimum amount for each order is ? 500.

11. UNFIX COSTS

Due to unforeseeable market reactions, packaging and tran-

sportation are not part of any contract. These can be updated

up to the delivery date by ENOLGAS BONOMI S.p.A. coherent-

ly to the unstable increases in raw materials or work related

costs such as the national labour contract, for example.

12. VALIDITY OF OFFERS

All ENOLGAS BONOMI S.p.A. offers have a validity of 30 days.

13. DISPUTES

The Official Legal Forum for the interpretation of these condi-

tions is Brescia, Italy.
