6) Complaints

6.1 Any dissimilarities of the Products delivered to the Buyer from the type and quantity indicated in the order shall be reported to Marvon S.r.l.

in writing within 7 (seven) days from the delivery date. After this period, the delivered Products will be considered in conformity with the ones

ordered by the Buyer.

7) General warranty terms

7.1 Marvon S.r.l. guarantees its Products in compliance with the articles contained in the European Directive EC 1999/44; these rules establish the

responsibility of the Seller toward the final purchaser for a period of 2 (two) years from the date of purchase of product (the docket or receipt

will act as proof of purchase date) and the possibility for the Seller to exercise his right to compensation from the manufacturer, provided

this has already been evaluated and approved by Marvon S.r.l.. This means that if a claim is made on a fault that can only be attributed to a

manufacturing defect*, within 2 (two) years from the purchase date, Marvon S.r.l. will undertake to replace the faulty product or component,

free of charge.

7.2 In any case the Buyer is not entitled to claims under the warranty with Marvon S.r.l. if the price of the Products has not been paid under the

agreed conditions and terms, even if the failure to pay the price under the agreed conditions and terms refers to Products other than those for

which the Buyer intends to claim under the guarantee.

7.3 Under the obligation to furnish a guarantee the Seller does not undertake any further obligation to compensate the Buyer or third parties for

direct and/or indirect and/or consequential damages resulting from product defects (including, by way of production losses, damages to things or

persons, loss of earnings, etc.).

7.4 The terms described above can be integrated with additional conditions applied to specific product lines.

* As an example, the Guarantee does not cover Products with defects caused by transport, alterations and/or variations caused by natural events or incorrect

storage, incorrect installations, tampering and/or repairs made by unauthorized persons, lack of suitable maintenance or in observance of instructions on use, the

use of unsuitable Products and/or tools, normal wear and tear, deterioration caused by use and any other cause that cannot be attributed to a manufacturing

defect, the installation of an unsuitable product, operating conditions (temperature, water, limestone, pressure, amps, voltage, etc.) outside the technical

parameters indicated in all of Marvon Technical documents, use of unsuitable installation tools.

8) Installation and storage

8.1 Marvon Products must be employed/installed in accordance with the instructions supplied by the producer. Marvon S.r.l. declines every responsibility for incorrect

installation of the material or for the failure to test the system itself, Marvon S.r.l. also declines responsibility for alterations, or damages or use which the installed

material may be subjected as a consequence of natural stress or incorrect maintenance.

9) Insolvency

9.1 The insolvency, even partial, of the Buyer, gives Marvon S.r.l. the irrevocable right, pursuant to articles 1453 and 1456 of the Civil Code, to immediately suspend

all supplies and, in any case, Marvon S.r.l. will be entitled to suspend the fulfilment of the obligations deriving from the sales of the products, under art. 1461 of

the Civil Code, should the financial position of the Buyer become such as to put in serious danger the payment of the consideration unless appropriate guarantee

is given.

9.2 In the event of delayed payment interest rates will be applied at the ECB rate increased to eight percentage points, beyond the recovery expenses, according to

the directive No. 2011/7/EU.

10) Retention of title

10.1 The goods are sold under the pact of retention of title under art. 1523 and following of the Civil Code; consequently, until settlement of payment of the entire

price, the goods shall remain the property of Marvon S.r.l.

10.2 In the event of any third party action in relation to the Seller’s Products, supplied and subject to the retention of title, the Buyer shall inform the third party of

the fact that the same are property of the Seller and shall immediately inform the Seller of such action. The Buyer shall bear all the costs pertaining to said

action.

11) Controversies

11.1 All Sale Agreements between the Parts and these General Sale Terms, will be governed by the Laws of Italy.

11.2 Any controversy arising between the parties in connection with the interpretation, validity or execution of these General Terms of Sale and relative contracts

shall be subject to the exclusive jurisdiction of the Court of Law of Brescia.

11.3 It is understood between the Parties that only the Seller, at its own discretion, may have the faculty to waive the exclusive jurisdiction set forth in the previous

paragraph to bring an action against the Buyer in its domicile and before the competent court.

12) Final provisions

12.1 The total or partial invalidity of any individual provision of these General sale terms shall not affect the validity of the other provisions.
